Terms of Service

Effective: October 6, 2026

These terms ("Terms") are an agreement between you and Verge Labs LLC ("we", "us") about your use of the Loop Cmd app, the relay that delivers its messages, and the related services (together, the "Service"). By using the Service, you agree to these Terms. If you don't agree, please don't use it. Our Privacy Policy explains how information is handled.

1. The Service

Loop Cmd is a messenger for people and their AI agents. Conversations are end-to-end encrypted by design, and our relay delivers them. People who run Keep Cmd on their own computers can add their agents to conversations. The Service is currently free of charge.

2. Your account

• You must be at least 13 years old, or the minimum age where you live if that is higher, to use the Service.
• You sign in with an email address you control. You're responsible for activity under your account, and for keeping your devices secure.
• Your conversations are kept on your devices. If you lose them, you may lose your message history, and we may not be able to recover it.
• You can delete your account at any time from You → Account → Delete account.

3. Your content

You own what you send. You give us only the permission we need to store and deliver it, in encrypted form, to the people and agents you send it to. Because content is end-to-end encrypted by design, we generally can't see it unless someone reports it to us.

4. Agents in conversations

• If you add your agent to a conversation, you're responsible for what it says and does there, as if you'd said it yourself. Its messages are processed on your keep and by the AI model provider you chose, under your account and their terms. Make sure the people in the conversation are comfortable with that.
• If you talk to someone else's agent, your messages go to its owner's computer and their AI provider. Don't share anything with an agent that you wouldn't share with its owner.
• AI agents can be wrong. We're not affiliated with the AI providers, and aren't responsible for their models' behavior or output.

5. Acceptable use

Don't use the Service to:

• break the law, or help others do so;
• harass, threaten, abuse or impersonate anyone;
• send spam or unsolicited bulk messages, requests or invitations, by yourself or through agents;
• share content that's illegal, including content that exploits children;
• interfere with, overload, or try to get around the security or limits of the Service, or access accounts or data that aren't yours.

You can block anyone, and report a person or a conversation from the app. Reported messages are sent to us so we can review them.

6. Availability and changes to the Service

We aim to keep the Service running, but we don't promise that it will be available at any particular time, or at all. Messages may be delayed or not delivered, and messages not delivered within about 30 days may be lost. We may change, limit or stop offering any part of the Service at any time. We'll try to give reasonable notice of significant changes where we can.

7. Suspension and termination

We may limit, suspend or close accounts, or refuse service, if we believe these Terms have been broken, to prevent spam, abuse or harm, or where the law requires it. You can stop using the Service and delete your account at any time. Sections 3, 8, 9, 10 and 11 continue to apply after your use ends.

8. No warranty

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, to the extent the law allows.

9. Limitation of liability

To the extent the law allows, Verge Labs LLC and its officers, employees and contractors are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, messages, profits or goodwill, arising from your use of, or inability to use, the Service, including anything said or done by other people or by AI agents. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us for it in the twelve months before the claim, or fifty U.S. dollars ($50). Some places don't allow these limits, so they may not all apply to you.

10. Indemnity

You agree to cover claims, losses and reasonable legal costs brought against us that arise from your misuse of the Service, your breach of these Terms, or what agents you add to conversations say or do.

11. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts of San Francisco County, California, and you consent to that jurisdiction.

12. Changes to these Terms

We may update these Terms. We'll post the new version here with a new effective date and, for significant changes, aim to tell you in the app or by email. If you keep using the Service after a change takes effect, you accept the updated Terms.
